Terms of Service

Last updated: 3 August 2026

1. Who these terms are between

These terms govern your use of the GoRunny platform as a restaurant, café, bar or other venue ("you", "the Venue"). The platform is operated by Avant Systems, trading as GoRunny (Sole proprietorship (eenmanszaak), Netherlands; KVK 42115024) ("GoRunny", "we").

These are business-to-business terms. They do not apply to your guests. A guest who scans a QR code and orders is contracting with you for the food and drink; GoRunny provides the ordering, payment-routing and loyalty software you use to serve them. How we handle personal data is described in our Privacy Policy, and the terms on which we process personal data on your behalf are in our Data Processing Agreement, which forms part of these terms.

Version 2026-08-03, effective 3 August 2026.

2. Accounts and access

  • GoRunny accounts are issued by invitation. You may not resell, share or transfer access, and you are responsible for everything done under accounts you or your staff control.
  • You must give each staff member their own account and remove access promptly when someone leaves. Shared logins undermine the audit trail on orders, refunds and fiscal records, and you carry the consequences of that.
  • You confirm you are acting in the course of a business, and that whoever accepts these terms is authorised to bind the Venue.

3. What we provide

  • Hosted QR menus, table sessions, guest ordering, split bills, loyalty programmes, analytics, and — depending on your plan — POS and payment-provider integrations, AI menu tooling and custom branding.
  • We may add, change or retire individual features. Where a change materially reduces functionality you are actively using, we will give you at least 30 days' notice and you may terminate under clause 9 without penalty for the remainder of a prepaid term.
  • The platform is provided as software. We are not a payment institution, not a point-of-sale vendor, and not a food business operator.

4. Fees, VAT and payment

  • Subscription only. GoRunny charges a subscription and takes 0% of your order volume — no commission, no application fee, no per-transaction cut, on any plan.
  • There is one plan, GoRunny, billed monthly (€99 a month), per season of three months (€237, i.e. €79 a month) or yearly (€588, i.e. €49 a month). See Pricing for the current list. Prices are exclusive of VAT.
  • VAT. VAT is applied according to your location and status. If you supply a VAT identification number that validates in VIES, the reverse-charge mechanism applies to cross-border supplies within the EU and no VAT is charged by us; otherwise VAT is charged at the applicable rate.
  • Fees are billed in advance for each period and renew automatically for the same period until cancelled. Payment is collected by card through our payment provider.
  • If a payment fails we will retry and notify you. If it remains unpaid 14 days after the due date we may suspend access under clause 8. Prepaid fees are non-refundable except where clause 3 or clause 9 says otherwise, or where required by law.
  • We may change prices with at least 30 days' notice before your next renewal. A price change never applies to a period you have already paid for.
  • Payment processing fees are separate and are not ours. Your card processing costs are charged by your own payment provider under your agreement with them. We do not mark them up and do not receive any share of them.

5. Your responsibilities

Several obligations sit with you as the food business operator and merchant. We provide the fields and the tooling; the accuracy and the legal duty are yours.

  • Menu, prices and allergens. You are responsible for the accuracy of everything you publish — item descriptions, prices, VAT rates, and allergen and ingredient information required under Regulation (EU) No 1169/2011. Where you use our menu-import, AI tagging or automatic translation features, the output is a draft that you must review before publishing. Do not rely on machine translation for allergen information.
  • Fiscalization. Where your market requires signed fiscal receipts (for example Austrian RKSV), you must keep a working fiscal configuration. We provide the integration; the registration, the credentials and the legal duty to issue compliant receipts remain yours.
  • Your payment provider. You must maintain a connected payment provider in good standing, and you are responsible for chargebacks, refunds and settlement disputes on your own transactions.
  • Your guests. You are the controller of your guests' personal data for the purposes you determine. You must have your own privacy notice and a lawful basis for the loyalty programme and any marketing you run.
  • Acceptable use. No unlawful content, no attempt to breach or probe the platform outside a process we have agreed in writing, no scraping other venues' data, no reselling the service, and no use that degrades the service for others.

6. Intellectual property and your data

  • We own the platform, its software, and everything we develop. These terms grant you a non-exclusive, non-transferable right to use it for the duration of your subscription — nothing more.
  • You own your content and your data — your menus, images, branding, order records, guest and loyalty records. You grant us only the licence needed to host and operate the service for you, and to keep backups.
  • We may use aggregated, de-identified statistics that cannot identify you, your guests or your venue, to operate and improve the platform. We do not sell your data and we do not use your guest lists for our own marketing.
  • Feedback you send us may be used without obligation or compensation.

7. Availability and support

  • We aim for high availability but these terms do not include a contractual uptime guarantee or service credits. The service is provided on a commercially reasonable efforts basis. If you need a committed SLA, contact us for an enterprise agreement.
  • We may perform maintenance that briefly interrupts the service, and will avoid peak service hours where we reasonably can.
  • Support is provided by email to [email protected]. Every subscription includes priority handling.
  • Third-party dependencies — your POS, your payment provider, your fiscal provider, network and device availability — are outside our control and outside this clause.

8. Suspension

We may suspend access, in whole or in part, where: fees are more than 14 days overdue; there is a genuine security risk to the platform or its users; we are required to by law; or you are in serious breach of clause 5. Except where an immediate suspension is necessary to prevent harm, we will warn you first and give you a reasonable chance to fix the problem. We will restore access once the cause is resolved.

9. Term, termination and getting your data out

  • The agreement runs for your chosen billing period and renews automatically. You may cancel at any time from the billing dashboard, effective at the end of the current paid period.
  • Either party may terminate immediately for material breach that is not cured within 30 days of written notice, or if the other becomes insolvent.
  • Data export. For 30 days after termination you can export your menus, orders, and guest and loyalty records through the dashboard or by asking us. After that we delete or anonymise your data, except where we must retain it — notably fiscal and payment records, which are kept for the statutory retention period (7 years in Austria). The DPA governs deletion of personal data.
  • Clauses 4 (for fees already accrued), 6, 10, 11 and 12 survive termination.

10. Warranties and disclaimers

We warrant that we will provide the service with reasonable skill and care. Beyond that, and to the fullest extent permitted by law, the platform is provided "as is": we do not warrant that it will be uninterrupted or error-free, that AI-generated tags, translations or merchandising suggestions will be accurate, or that integrations with third-party POS, payment or fiscal systems will always be available. Nothing in these terms excludes liability that cannot lawfully be excluded.

11. Liability

  • Neither party is liable for indirect or consequential loss, loss of profits, loss of revenue, loss of anticipated savings, or loss of goodwill.
  • Our total aggregate liability under or in connection with these terms in any 12-month period is limited to the total subscription fees you paid us in the 12 months before the event giving rise to the claim.
  • That cap does not apply to death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited by law.
  • You indemnify us against third-party claims arising from your content, your menu and allergen information, your failure to fiscalize where required, or your breach of clause 5.

12. General

  • Governing law. Dutch law. The courts of Amsterdam, Netherlands, have exclusive jurisdiction, without prejudice to any mandatory rules of your own jurisdiction.
  • Changes. We may update these terms with at least 30 days' notice by email and in the dashboard. If you do not accept a change, you may terminate before it takes effect and we will refund the unused part of any prepaid period.
  • Subcontractors. We may use subcontractors and sub-processors (listed in the DPA) and remain responsible for their performance.
  • Assignment. You may not assign without our consent. We may assign to a group company or in connection with a merger or sale of the business.
  • Entire agreement and severability. These terms, the DPA and the Privacy Policy are the whole agreement between us. If any provision is unenforceable, the rest stands.
  • Force majeure. Neither party is liable for failure caused by events beyond its reasonable control.
